Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CoreHue platform, website, and related services (collectively, the "Service") operated by CoreHue ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. These Terms constitute a legally binding agreement between you and CoreHue, governed by the laws of the State of Delaware, United States.

2. Description of Service

CoreHue is a business management platform designed for visual creatives — photographers, videographers, and content creators. The Service provides integrated tools including:

  • Gallery delivery — upload, organize, and share photo and video galleries with clients, including password-protected access, collections, and bulk downloads
  • Booking management — service listings, client enquiries, calendar scheduling, availability settings, and lead management
  • Studio management — client relationships, contracts, and invoicing
  • Website builder — customizable portfolio websites with custom domains
  • Video delivery — streaming and download of video content to clients

Features may evolve, be added, or be modified as we continue to develop the platform. We will provide reasonable notice of material changes that affect your use of the Service.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the confidentiality and security of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately at hello@corehue.co of any unauthorized use or security breach

You may register using your email address or through third-party authentication providers (such as Google). We reserve the right to reject or reclaim usernames at our discretion, including usernames that infringe trademarks or are misleading.

5. Acceptable Use

You agree not to misuse the Service or help anyone else do so. You must not:

  • Upload, store, or transmit content that is unlawful, harmful, defamatory, obscene, or that violates any third party's intellectual property or privacy rights
  • Use the Service to distribute malware, phishing attempts, or other malicious content
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
  • Interfere with, disrupt, or place undue burden on the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means (bots, scrapers) to access the Service without our written permission
  • Use the Service for any purpose other than its intended creative business management functions

6. Content Ownership & License

You retain full ownership of all content you upload to CoreHue, including photographs, videos, documents, contracts, invoices, and website content. Your creative work is your intellectual property and remains entirely yours.

By using the Service, you grant CoreHue a limited, non-exclusive, worldwide, royalty-free license to:

  • Store and process your content on our infrastructure to provide the Service
  • Generate transformed versions of images (thumbnails, resized copies) for gallery display and downloads
  • Display your content to your clients and visitors through galleries and websites you publish

This license exists solely to operate and improve the Service. We will never use your content for marketing or promotional purposes without your explicit written consent. We will never sell, sublicense, or share your content with third parties beyond what is necessary to provide the Service.

7. Client & Visitor Content

When your clients interact with your galleries, booking pages, or websites through CoreHue, they may provide personal information (email addresses, names, phone numbers, messages) and create collections or submit enquiries. You are responsible for how you collect, use, and manage your clients' data through the Service. You agree to comply with all applicable privacy laws, including providing appropriate notice to your clients about data collection.

8. File Upload & Storage

The Service allows you to upload images and other files. You agree that:

  • You own or have the necessary rights to all content you upload
  • Uploaded files must be within the file type restrictions (images: JPEG, PNG, WebP, GIF, TIFF, HEIC) and size limits enforced by the Service
  • Storage usage is subject to the limits of your subscription plan
  • While we take reasonable measures to preserve your files, you are responsible for maintaining your own backups of original content

9. Subscription Plans & Payment

CoreHue offers paid subscription plans with an optional trial period. By subscribing:

  • Fees are billed in advance on a monthly or annual basis as selected during subscription
  • Payments are processed securely through our third-party payment providers (Stripe)
  • Prices are subject to change with at least 30 days' written notice before the next billing cycle
  • Refunds are handled on a case-by-case basis at our sole discretion, except where required by applicable law
  • You are responsible for all applicable taxes associated with your use of the Service

If you are on a trial, full access to the Service is available for the duration of the trial period. After the trial expires, an active paid subscription is required to continue using the Service. Downgrading your plan may result in reduced storage limits. If your stored content exceeds your new plan's limits, you will need to reduce your usage to continue uploading new content.

10. Custom Domains & Subdomains

CoreHue provides subdomains (e.g., yourname.corehue.co) for public galleries and booking pages, and may offer custom domain support for portfolio websites. You are responsible for ensuring that your chosen username, subdomain, and custom domain do not infringe upon any third-party trademarks or rights. We reserve the right to reclaim or reassign subdomains at our discretion if they are found to be infringing, misleading, or inactive for extended periods.

11. Service Availability

We strive to maintain high availability and reliability. However, the Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure access at all times. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, infrastructure changes, or unforeseen technical issues. We will make reasonable efforts to provide advance notice of planned maintenance that may significantly affect your access.

12. Termination

You may terminate your account at any time through your account settings. Upon termination:

  • You may request an export of your data within 30 days of termination
  • After 30 days, your content and personal data will be permanently deleted from our systems
  • Published galleries, booking pages, and websites will become inaccessible immediately

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or threaten the security or experience of other users, with or without prior notice depending on the severity of the violation.

13. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is the intellectual property of CoreHue and is protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET ALL OF YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COREHUE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO COREHUE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless CoreHue and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) content you upload or share through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property or privacy rights.

17. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, United States, and shall be conducted in English. The arbitrator's decision shall be final and binding. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

19. Changes to These Terms

We may revise these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. Material changes will be communicated via email or a prominent notice within the Service at least 14 days before taking effect. Your continued use of the Service following the effective date constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue your use of the Service.

20. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoreHue regarding the Service and supersede any prior agreements. You may not assign or transfer your rights under these Terms without our prior written consent.
